PRICE PROTECTION PROGRAM POLICY

1. POLICY OVERVIEW & PURPOSE
1.1. Policy Title
This is the Mattamy Homes Price Protection Program Policy.
1.2. Effective Date
This Policy is effective January 24, 2026, and applies to Purchase Agreements executed during the Program Period.
1.3. Purpose
This Policy establishes the Price Protection Program, which offers Eligible Purchasers a credit if the Base Price of the applicable Comparison Home is reduced between the date of Purchase Agreement execution and the Calculation Date.
1.4. Scope and Application
This Policy applies to:
• All participating Mattamy communities in Canada (Ontario and Alberta);
• Purchasers who elect to participate in the Price Protection Program at the time of Purchase Agreement execution; and
• Purchase Agreements executed during the Program Period.
This Policy does not apply to:
• Excluded Communities; 
• Purchase Agreements executed before or after the Program Period; 
• Only from and after execution of their Purchase Agreement, Purchasers who elect the Design Studio Credit Program Option (for clarity, this means that this Policy is no longer applicable to a Purchaser once they sign a Purchase Agreement with a Design Studio Credit); and
• Only from and after execution of their Purchase Agreement, Purchasers who elect the Purchase Price Incentive Program Option (for clarity, this means that this Policy is no longer applicable to a Purchaser once they sign a Purchase Agreement with a Purchase Price Incentive).
2. PROGRAM DESCRIPTION
2.1. Program Name

The Price Protection Program is part of the Mattamy winter sales campaign.
2.2. Program Period
The Program Period runs from January 24, 2026 to March 15, 2026, inclusive.
2.3. Excluded Communities
The following communities are excluded from the Price Protection Program:
• Lakehaven (Innisfil, Ontario);
• Laurels Phase 1 (Milton, Ontario);
• BLVD Q (Etobicoke (Toronto), Ontario); 
• Clockwork Phase 4 (Oakville, Ontario); and
• Martha James (Burlington, Ontario).
2.4. Participating Divisions
All Mattamy Divisions in Canada are participating in the Price Protection Program.
2.5. Cannot be Combined with Any Other Offers
The Price Protection Program, the Design Studio Credit and the Purchase Price Incentive (for QMIs only) are each mutually exclusive Program Options. At the time of executing the Purchase Agreement, each Purchaser must elect only one Program Option. The elected Program Option cannot be combined with any other purchase price incentives or offers provided by Mattamy at the time of sale. The Purchaser will be required to execute an amendment to the Purchase Agreement documenting the elected Program Option. The election is irrevocable once the Purchase Agreement is executed. 
Mattamy recommends that the Purchaser obtain independent legal advice regarding the Price Protection Amendment.
3. DEFINITIONS
“Base Price”
means the price of a home or unit (inclusive of GST/HST, net of GST/HST new housing rebate) as published in the Sales Centre Price List, excluding:
• Lot premiums;
• Grade conditions;
• Architectural upgrades;
• Structural changes and upgrades;
• Appliance upgrades;
• Upgrades to finishes;
• Other add-ons; and 
• Only to the extent identified by Mattamy as excluded from the Base Price prior to Purchase Agreement execution, parking, locker, and other similar ancillary units (for condominiums).
For certainty, the Base Price of any Comparison Home excludes any Design Studio Credit or Purchase Price Incentive. 
“Calculation Date” means the date on which the Price Protection Credit is calculated. The Calculation Date is the earlier of:
For Ontario Condominium Units (including parcels of tied land for a common elements condominium):
• The date that is 30 days prior to the actual occupancy date set by Mattamy; 
• If the Purchaser has requested an extension to the occupancy date, the date that is 30 days prior to the last occupancy date set by Mattamy before the Purchaser requested the extension; or
• The date of sale of the Last Available Comparison Home.
For all other project types in Ontario and Alberta:
• The date that is 30 days prior to the actual closing date set by Mattamy; 
• If the Purchaser has requested an extension to the closing date, the date that is 30 days prior to the last closing date set by Mattamy before the Purchaser requested the extension; or
• The date of sale of the Last Available Comparison Home.
“Comparison Home” means a home or unit that meets the criteria below.
For multi-story condominium units, a Comparison Home must satisfy ALL of the following:
• Same model by name (e.g., C2DA, C3DB, etc.) as the Purchased Home, as identified by Mattamy to the Purchaser at the time of Purchase Agreement execution in the Sales Centre Price List attached to the Purchase Agreement; and
• Located in the same Phase as the Purchased Home.
For low-rise homes (single-family detached, semi-detached, townhouse, etc.), a Comparison Home must satisfy ALL of the following:
• Same model and elevation by name (e.g., the Maclaren Elevation B, the Pine Elevation C) as the Purchased Home, as identified by Mattamy to the Purchaser at the time of Purchase Agreement execution in the Sales Centre Price List attached to the Purchase Agreement; and
• Located in the same Phase as the Purchased Home.
Comparison Homes may or may not be available for sale by Mattamy at the time of sale of the Purchased Home; however, Comparison Homes shall be identified and set at the time of Purchase Agreement execution. Notwithstanding anything else, the Comparison Homes applicable to any particular Purchased Home are only those Comparison Homes identified and set at the time of Purchase Agreement execution. If there are no Comparison Homes remaining in the Phase at the time of Purchase Agreement execution, the Purchased Home is not eligible for the Price Protection Program.
“Design Studio Credit” means an alternative sales incentive comprising a credit towards Mattamy’s design studio selection process for the Purchased Home, offered to all Purchasers (excluding QMI Purchasers) at the time of sale instead of the Price Protection Program. 
“Discretion” means a party’s sole, absolute, subjective, and unfettered discretion. 
“Eligible Purchaser” means a Purchaser who satisfies all eligibility criteria set out in Section 4.1 of this Policy.
“Excluded Communities” means the communities listed in Section 2.3 as not participating in the Price Protection Program.
“Last Available Comparison Home” means the final Comparison Home sold by Mattamy during the period from the date of Purchase Agreement execution through to the Calculation Date. The sale of the Last Available Comparison Home crystallizes the Price Protection Credit calculation.
“Mattamy” means Mattamy Homes or any of its affiliates or related entities, as the context requires.
“Phase” means, either: 
for multi-story condominium units, the building, or buildings in the same phase of a project where that project is a phased condominium, that contains the Purchased Home; or 
for low-rise homes (single-family detached, semi-detached, townhouse, etc.), the current phase, stage or neighbourhood containing the Purchased Home and identified in bold outline on Schedule “B” to the Purchase Agreement.
“Price Protection Amendment” means the amendment to the Purchase Agreement executed by the Purchaser and Mattamy with respect to the Price Protection Credit.
“Price Protection Credit” means the credit amount (inclusive of GST/HST) calculated in accordance with Section 5 of this Policy and applied as a credit on the statement of Adjustment at final closing.
“Program Option” means each of the Price Protection Program, the Design Studio Credit, or, for QMIs only, the Purchase Price Incentive, as elected by the Purchaser at the time of Purchase Agreement execution. For certainty, (a) Design Studio Credit is not applicable for QMIs and Purchasers of QMIs will have the option of only the Price Protection Program or Purchase Price Incentive; and (b) Purchase Price Incentive is not applicable for non-QMIs and Purchasers of non-QMIs will have the option of only the Price Protection Program or Design Studio Credit. 
“Program Period” means the period from January 24, 2026, to March 15, 2026, inclusive, subject to early termination by Mattamy in accordance with Section 7.
“Purchase Agreement” means the agreement of purchase and sale between the Purchaser and Mattamy for the Purchased Home. 
“Purchase Price Incentive” means an alternative sales incentive comprising a credit towards the Purchase Price on closing of the Purchased Home, offered only to Purchasers of QMIs at the time of sale instead of the Price Protection Program and the Design Studio Credit. 
“Purchased Home” means the residential unit or home that the Purchaser has agreed to purchase from Mattamy and that is the subject of the Purchase Agreement.
“QMI” means a Purchased Home where Mattamy’s design studio selection process has been completed prior to execution of the Purchase Agreement. 
“Sales Centre Price List” means the standardized price list published by Mattamy showing the Base Price for each model. The Sales Centre Price List is:
• Available in Mattamy’s sales centre; and
• Dated and updated by Mattamy from time to time.
Note that in the event of a conflict between the Sales Centre Price List and any other price list published or available (including online, by any agent or broker, or on social media), the Sales Centre Price List governs.
“Statement of Adjustment” means the statement prepared in connection with the closing of the sale of the Purchased Home that outlines all credits and debits, including the final purchase price payable by the Purchaser.
4. ELIGIBILITY CRITERIA
4.1. Purchaser Eligibility Requirements
A Purchaser is an Eligible Purchaser for the Price Protection Program only if ALL of the following conditions are satisfied:
(1) The Purchase Agreement was executed during the Program Period.
(2) The Purchased Home is not located in an Excluded Community listed in Section 2.3.
(3) The Purchaser elected the Price Protection Program as their Program Option at the time of Purchase Agreement execution.
(4) As determined by Mattamy, in its Discretion, there is at least one Comparison Home remaining in the Phase at the time of Purchase Agreement execution.
(5) As determined by Mattamy, in its Discretion, the Purchaser has not: 
a. defaulted under the Purchase Agreement; and
b. assigned or transferred their interest in the Purchase Agreement except as permitted by Mattamy. 
(6) The Purchaser completes the transaction and closes on the Purchased Home.
(7) Either: 
a. the Base Price of a Comparison Home (as stated in the Sales Centre Price List on the Calculation Date) is lower than the Base Price of the Purchased Home; or
b. the Base Price of the Last Available Comparison Home is lower than the Base Price of the Purchased Home. 
4.2. Effect of Loss of Eligibility 
Termination of a Purchaser’s eligibility for price protection (whether due to default, assignment, etc.) does not affect the validity or enforceability of the Purchase Agreement. All other terms and conditions of the Purchase Agreement remain in full force and effect with time to remain of the essence. The Purchaser remains obligated to complete the transaction at the original purchase price.
4.3. Comparison Home Identification Requirements
Comparison Homes must be identified at the time of Purchase Agreement execution.
If there are no Comparison Homes remaining in the Phase at the time of Purchase Agreement execution, the Purchased Home is not eligible for the Price Protection Program and the Purchaser may instead elect the Design Studio Credit or Purchase Price Incentive (QMIs only).
4.4. No Closing Date Restrictions
There is no requirement that the Purchased Home close within any timeframe. The only timing requirement is that the Purchase Agreement is executed during the Program Period. An Eligible Purchaser remains eligible for price protection regardless of when the Purchased Home closes.
5. CALCULATION METHODOLOGY
5.1. Calculation Formula

The Price Protection Credit is calculated as follows:
Price Protection Credit = Base Price of Purchased Home − Lowest Base Price of a Comparison Home
Where:
• “Base Price of Purchased Home” = the Base Price as set out in the Sales Centre Price List on the date of Purchase Agreement execution.
• “Lowest Base Price of a Comparison Home” = the Base Price for the Last Available Comparison Home, if applicable, or the lowest Base Price for a Comparison Home as stated in the Sales Centre Price List on the Calculation Date.
5.2. Calculation Rules
(a) Multiple Comparison Homes
If multiple Comparison Homes exist, use the lowest Base Price among all Comparison Homes on the Calculation Date.
(b) Pricing Source
Only Base Prices published in the Sales Centre Price List are used for calculation purposes. In the event of a conflict between the Sales Centre Price List and any other versions available online or elsewhere, the Sales Centre Price List governs.
The following are NOT used for calculation purposes:
• Prices advertised by any third-party (including brokers, agents, or realtors); or
• Any prices that exclude GST/HST or are net of any First Time Home Buyer GST/HST rebates.
(c) No Price Reduction
If the Lowest Base Price of a Comparison Home on the Calculation Date is equal to or greater than the Base Price of the Purchased Home, the Price Protection Credit is $0.
(d) Tax Treatment
All prices and credits are inclusive of HST (in Ontario) or GST (in Alberta). 
5.3. Calculation Date Determination
Mattamy is solely responsible for determining the Calculation Date.
If the Last Available Comparison Home is sold before the Calculation Date, the Price Protection Credit crystallizes immediately.
6. PROGRAM ADMINISTRATION
Mattamy is not obligated to proactively notify Purchasers of Base Price reductions prior to the Calculation Date. 
Mattamy will calculate and apply the Price Protection Credit (if any) on the Statement of Adjustment at closing, calculated as of the Calculation Date. Purchasers do not need to request the credit; it will be applied automatically if they are eligible.
7. PROGRAM TERMINATION
Mattamy reserves the right to terminate the Price Protection Program at any time without prior notice. Termination applies only to Purchase Agreements executed after the termination date. Termination does not apply retroactively to Eligible Purchasers who have already executed Purchase Agreements.
Upon termination of the Price Protection Program, the Program will cease to be offered to new Purchasers. The Design Studio Credit or the Purchase Price Incentive (QMIs only) may remain as an offer to Purchasers after the termination date, in Mattamy’s Discretion.
8. POLICY CHANGES
8.1. Mattamy’s Right to Amend Policy
Mattamy reserves the right to amend this Policy at any time. Policy amendments must be documented in writing with an effective date.
8.2. Non-Retroactive Application
Policy amendments apply only to Purchase Agreements executed on or after the effective date of the amendment. Policy amendments do not apply retroactively to Purchase Agreements executed prior to the amendment effective date.
Purchasers who executed Purchase Agreements under a prior version of this Policy remain governed by that prior version.
8.3. Version Control
Each version of this Policy must be assigned a version number (e.g., 1.0, 1.1, 2.0, 3.0). The version number and effective date must appear on the first page of the Policy. All versions of this Policy must be retained for audit and compliance purposes.
